Wholesale Terms of Service


I. General Provisions

1. Membership Fees
The membership in the Cellfservices Wholesale Program is free. There is neither an application-, nor a subscription fee.

2. Principle of Subsidiarity
The General Terms Of Service are fully applicable for all matters of the Wholesale Program. Where colliding, regulations of the General Terms Of Service are being replaced or amended by regulations of the Wholesale Terms Of Service.

3. Policy Amendments
The Wholesale Terms Of Service are subject to change at any point without prior notice. It is the responsibility of the wholesale partner to regularly check for policy updates.

 

II. Credit System 

1. Credit Usage
The Cellfservices Wholesale Terminal is based on virtual credits. Placing unlock orders is only possible using credits.

2. Credit Conversion
Credits can only be purchased through the Cellfservices Wholesale Terminal and are only usable therein. Converting credits back to any other currency is not possible.

3. Credit Expiration
Credits do not expire and are valid as long as the respective wholesale account is active.

4. Credit Refunds
Credit purchases are non-refundable. It is the sole responsibility of the wholesale partner to decide how many credits to purchase. Cellfservices Ltd is not liable for any shift of business plans or expectations of the wholesale partner regarding the usage of previously purchased credits.

5. Credit Transfers
Credits can be freely transferred between wholesale partner accounts at any time.

 

III. Tiers

1. Tier Groups
The Cellfservices Wholesale Terminal has three tier groups (Tier 1, Tier 2, Tier 3) providing different pricing levels for each unlock tool. The number and details of the tier groups are subject to change anytime with or without prior notice. 

2. Tier Placement
Upon registration each wholesale partner is automatically placed in the Tier 1 group. By purchasing the “500 Credits” package, the placement will be changed to Tier 2. By purchasing the “1,000 Credits” package, the placement will be changed to Tier 3. The tier placement changes automatically upon every credit package purchase according to the latest package choice. This includes credits remaining from previous credit purchases of different credit packages.

 

IV. Unlock Tools

1. Tool Availability
The availability of existing or new tools is subject to change at any point with or without notice. In case a tool becomes unavailable, pending orders will be cancelled.

2. Tool Pricing
Tool pricings are subject to change at any point with or without notice. Pending orders will eventually be cancelled if the updated tool pricing is significantly higher due to supplier changes.

3. Processing Time
The processing time outlined in the unlock tool description is based on supplier informations and prior experience. As Cellfservices Ltd has no influence on the actual processing time, there is no guarantee the actual processing time matches the outlined estimation.

  

V. Order Cancellation

1. Credit Orders
Credit package orders can only be cancelled until the credits have been added to the account balance. 

2. Unlock Orders
Unlock orders can generally only be cancelled until they have been submitted to the respective supplier. Once an order has been submitted to the supplier, cancelling is only possible if the supplier permits it. Cellfservices Ltd has no influence on the supplier’s decision.

 

VI. Refund Policy

1. Tool Instructions
No refunds will be granted for negative results caused by not following the special instructions displayed in the product page of the according unlock tool. 

2. Incorrect Order Details
If an unlock order returns negative results due to inaccurate order details (i.e. IMEI, model, carrier, etc.), credits used for this order are only refunded if Cellfservices Ltd is not held liable for the failed attempt by the respective supplier. It is the sole responsibility of the wholesale partner to make sure the submitted details are accurate before submitting the order.

3. Unlock Erroneous
If the retrieved Unlock Code is erroneous, refunds will only be granted if video evidence is presented in accordance to the General Terms Of Service. Factory Unlock orders can only be refunded if the IMEI is still locked after the order completion. This has to be verified by a Network Check.

4. Unlock Instructions
All unlock instructions displayed in the “Instructions” section are based on previous experience. It is the sole responsibility of the wholesale partner to make sure to know how to enter the Unlock Code or how to activate the Factory Unlock before submitting the order. No refunds will be granted for inaccurate instructions causing the inability to successfully enter the Unlock Code or to activate the Factory Unlock.

 

VII. End Of Membership

1. Account Closing
Wholesale partner accounts can be closed at any point by sending an E-Mail to [email protected]. Remaining credits will be voided. Once an account has been closed, it cannot be reopened again but a new account can be created anytime.

2. Account Suspension
Wholesale Partner Accounts can be temporarily or permanently suspended at any time with or without notice. Common suspension reasons are: Inactivity, insufficient volume (order volume significantly below wholesale standards), wrong billing/address, fraudulent behavior or system abuse. Remaining credits will be voided. Once an account has been suspended, it cannot be reopened again and a new account may only be created upon explicit permission by Cellfservices Ltd
